1. Introduction
  • Who We Are: Kuuka Technologies Limited (“Kuuka”, “we”, “our”, “us”) is a digital platform connecting buyers and suppliers for procurement and delivery services. By accessing our Digital Products (website, app), you agree to these Terms and our Privacy Policy.
  • Purpose: These Terms govern your use of our services, including online ordering, net payment terms, dynamic pricing, AI-driven risk assessments, and logistics management. They detail our rights and your responsibilities and limit our liability as permitted by law.
2. Data Processing & Legal Bases
  • Expanded Data Processing: We collect personal information, payment data, voice recordings, and behavioral analytics. Processing is based on:
  • - Consent: Where you have explicitly agreed.
  • - Performance of a Contract: Necessary for providing our services.
  • - Legitimate Interests: For system security, risk assessment, and service
  • Expanded Data Processing: Data transfers outside the EEA/UK are protected using Standard Contractual Clauses (SCCs) or the UK Addendum.
  • AI/ML Transparency: We use AI (e.g., our assistant Eli) for risk scoring, dynamic pricing, and route optimization. Users have the option to request human review of AI-driven decisions.
3. Payment & Financial Data
  • PCI DSS Compliance: All payment transactions are processed via PCI-certified third-party processors (e.g., Stripe, Square). We do not store raw card data.
  • Net Payment Terms: Deferred payment options (e.g., Net 30/60) are facilitated through our platform. These are agreements between buyers and suppliers. Kuuka's role is solely to facilitate transactions and assess risk, and we disclaim liability for buyer defaults.
  • FCA Disclaimer: Kuuka is not a regulated financial institution. Financial insights provided are for informational purposes only.
4. Supplier & Credit Risk Data
  • Risk Assessments: All payment transactions are processed via PCI-certified third-party processors (e.g., Stripe, Square). We do not store raw card data.
  • Disclaimers: Kuuka does not guarantee the accuracy of risk scores or the creditworthiness of any party. Users acknowledge that decisions based on these assessments are at their own risk.
5. Delivery & Logistics
  • Independent Contractors: Delivery services are provided by freelance drivers and supplier-employed drivers, who are independent contractors. Kuuka is not a transport provider and is not liable for delivery delays, damages, or driver misconduct.
  • Liability Disclaimer: Any liability for delivery-related issues (delays, lost/damaged goods) is strictly limited as detailed in our service rules. Suppliers and drivers must maintain their own appropriate insurance and comply with all relevant transport regulations.
6. User Rights & Controls
  • Data Portability & Deletion: Users may request copies of their data and request deletion via our support channels.
  • Voice Data: Users can request deletion of voice recordings used for ordering.
  • AI Opt-Out: Users may request a human review of AI-driven decisions, such as risk scores or driver assignments.
  • Marketing Preferences: Users can update their preferences via our settings to control the types and frequency of communications.
7. Limitation of Liability
  • General Exclusions: Kuuka is not liable for:
  • - Financial losses arising from buyer or supplier defaults.
  • - Reliance on AI-generated insights (e.g., dynamic pricing, risk assessments).
  • - Performance of third-party services (e.g., payment processors, drivers, POS systems).
  • - Data breaches resulting from user negligence.
  • Advisory Nature: Dynamic pricing and inventory recommendations are advisory only. Kuuka does not guarantee profitability or the accuracy of predictive insights.
  • Force Majeure: Kuuka is not liable for disruptions caused by events beyond our control, including AI system failures, third-party API issues, or regulatory changes.
  • Marketing Preferences: Users can update their preferences via our settings to control the types and frequency of communications.
8. Dispute Resolution
  • Mandatory Arbitration: Any disputes arising from these Terms shall be resolved via individual arbitration under ICC Rules, waiving class action rights.
  • Jurisdiction: Disputes will be governed by English law and subject to the exclusive jurisdiction of the English courts.
9. Supplier and Driver Obligations
  • Compliance Requirements: Suppliers and drivers must comply with all applicable laws (including ESG standards, labor practices, and insurance requirements). Non-compliance may result in delisting or suspension without liability on Kuuka's part.
  • Indemnification: Users indemnify Kuuka against any claims arising from their breach of these Terms or violation of third-party rights.
  • User Content: Users retain ownership of any content they submit, but grant Kuuka a perpetual license to use, copy, and distribute such content.
10. Service Availability
  • No Guaranteed Uptime: Our services, including smart inventory, voice ordering, and reporting features, are provided 'as is' without guaranteed uptime. Scheduled maintenance or unforeseen issues may temporarily disrupt services.
